This document, along with your contract with us and any additional guidelines or terms provided to you via email or through our website latingaming.com, and any modifications to date, constitute the terms of use for the services provided by Latin Gaming (hereinafter referred to as the “Agreement”). By subscribing to the Latin Gaming affiliate program, you certify that you have read the terms and conditions related to our services.

Compliance and Application of Clauses

In the event that either party fails to comply with any clause of this contract, it is emphasized that this should not lead to the waiver of other established clauses. No employee of ours has the authority to modify or cancel the terms of this contract.

In situations of non-compliance or when there is a risk of non-compliance with any clauses of this contract, the rights and responsibilities of both parties will remain in effect. In no case should the provisions of this contract restrict or harm our legal rights. In fact, if a breach occurs or there is a perceived risk of non-compliance with this agreement, this measure is intended to highlight that our rights and duties are applied fairly, in accordance with the law or otherwise.

If any provision proves to be unenforceable or contrary to the law, this clause will apply only in the particular context where it is unenforceable. The invalidity of a clause will not affect the other clauses of this contract. In the event that it is necessary to discard any clause, this must be established in writing to be valid.

This contract may not be transferred to a third party without the prior consent of Latin Gaming under any circumstances. Each clause of this contract will be considered valid and effective according to the applicable law. However, if any of these clauses is deemed void, illegal, or unenforceable, it will not affect the other clauses of this contract.

Access to this site is possible from various locations and countries worldwide. However, this does not imply that Latin Gaming has committed to offering its services, or part of its services, in the location or country from which you access.

Definitions

• ‘Sites’ refers to the web pages promoted by Latin Gaming.
• ‘Parties’ refers to Latin Gaming and its affiliated partners.
• ‘Deposits’ refers to the money that players deposit on the sites promoted by Latin Gaming.
• ‘CPA’ is a bonus that you will receive when a player registers and makes a first deposit on one of our sites through your link.
• ‘Banner and link’ refer to all graphic elements we provide for directing your visitors to our sites.
• ‘Player’ refers to a person who accesses one of our sites through your link and opens an account on that site.
• ‘Net income’ refers to the total of all deposits less withdrawals generated by your links.
• ‘Commission Program’ refers to the payment model that the affiliate chooses, whether based on fixed or variable income.
• ‘Fraud’ refers to an illicit act or an attempt to commit an illegal act within the corresponding jurisdiction, including collusion, abuse of bonuses and promotions, violation of anti-money laundering laws, spam or unauthorized deceptive advertising, use of stolen credit cards, and unauthorized use of intellectual property rights.
• ‘Spam’ refers to emails and messages that meet certain criteria, such as being unsolicited, sent to multiple recipients, containing false statements, not offering an unsubscribe option, grouping different software programs into a single group, resulting in the download or installation of software or similar action without the recipient’s consent.

In the case of a CPA agreement (including hybrid plans), it is the exclusive responsibility of the affiliate to comply with the budget agreed upon with the Affiliate Manager. Exceptions may be made at the sole discretion of the Affiliate Manager. Latin Gaming is not responsible for the loss, deterioration, or damage to files, nor for the transmission of viruses that may infect the user’s computer equipment.

As a member of our affiliate program at Latin Gaming, you are required to establish links with our partners on your website. These links can be in the form of banners or hypertext links. This contract does not grant you exclusivity, and therefore, you can offer the same services to other affiliates. Complaints related to payments can only affect the revenue streams generated by your activity and not those generated by a third party. Marketing tools provided by Latin Gaming cannot be modified by users unless they have been previously approved by Latin Gaming. You can only use banners and promotional materials available to users. It is allowed to open player accounts on our sites, either directly or indirectly, only for testing purposes (“test accounts”). You are not allowed to make real money deposits through your affiliate links into such test accounts, nor gain economic benefits, including commissions, directly or indirectly, from such test accounts. If you want to make test deposits to evaluate the system, you should contact your account manager. You will not receive any commission in your player account or any other account, either directly or indirectly. You do not have the right, nor any third party on your behalf, to participate in net revenues or receive other compensation from Latin Gaming in relation to such test accounts. Notwithstanding any other provision of this agreement, any commission containing a revenue-sharing component will only be paid to you for a maximum period of 24 months from the player’s registration date. If you do not display our banner on your website for more than two months (60 consecutive days), your account will be closed. Fraud

In the event of fraudulent traffic being detected from your website or any other activity, whether direct or indirect, that is suspected of fraud, we reserve the right to: (i) retain payments; (ii) close your player account and/or affiliate account; (iii) and/or terminate this agreement immediately upon notification, without prejudice to the rights set forth in this agreement and in accordance with applicable law. In the event that a fraudulent or suspected fraudulent transaction is identified, carried out by one of your services or players, Latin Gaming reserves the right to suspend your commission and cancel the transaction. Losses caused by this fraudulent activity will be the responsibility of the affiliate.

Compensation

You agree to defend, indemnify, and hold harmless Latin Gaming, as well as its directors, managers, employees, and representatives, from any liability, loss, damage, and expense, including reasonable legal fees, arising out of or related to:

i. Any breach by you of any warranty, representation, or provision of contents in this agreement. ii. Your obligations and duties arising from this contract. iii. Negligence and any damage resulting from your breach, omission, or unauthorized use of our banners and affiliate links.

Commissions

Our commission offers will be published and updated on our website: latingaming.com. We strongly urge you to review them regularly to stay informed of any changes that may occur.

Relationship Between the Parties

We are independent entities and are not bound by any association, joint venture, franchise subsidiary, sales representation, or common interest group. We do not assume responsibility for indirect damages, especially those related to your participation in our affiliate program. Our liability is limited to the payment made to you under the terms of this agreement. Only the parties involved in this contract have rights according to it. Any damage or claim is restricted to marketing revenues and direct damages. In no case will we be responsible for possible errors or interruptions in the operation of our websites and the associated consequences. You acknowledge having read this contract and accept its conditions. Please note that we reserve the right to modify the content at any time.

Applicable Law

• The interpretation, validity, and execution of this Agreement, and any dispute or claim arising from it or in connection with it or this contract and its terms (including non-contractual disputes or claims), shall be governed and interpreted according to the laws of Curaçao.
